Loo Hao Han

Hao Han is a practising lawyer and a member of the Malaysian Bar since 2014. Before becoming a Partner in Ming & Partners, Hao Han was a Senior Associate in Chooi & Company + Cheang & Ariff (CCA), a Tier 1 Legal 500 law firm in Malaysia. Hao Han joined Ming & Partners on 1 May 2021 as a Partner.

Hao Han’s areas of expertise includes mergers and acquisitions, corporate restructuring, initial public offering, venture capital investments and a variety of capital markets transactions. Over the years, he has advised on many notable corporate transactions.

Other than corporate matters and capital markets matters, Hao Han also regularly provides advisory services on various commercial agreements, corporate laws, stamp duties reliefs, contract laws, as well as other general advisory works.

  1. Advising and drafting the transactional documents for a restructuring exercise of a group of companies owned by an investment arm of a state government involving assets worth more than RM2billion.

  2. Advising and drafting the transactional documents for the disposal of core operating subsidiaries specialising in logistic business by a public listed company at a total consideration of approximately RM86million.

  3. Advising and drafting the placement agreement for the private placement of shares by a public listed company with principal business activity in property development and construction, raising proceeds of approximately RM150million.

  4. Advising and drafting the by-laws for share grant scheme implemented by a public listed company with principal business of providing fintech solutions.

  5. Advising and drafting the deed poll in relation to the issuance of renounceable rights and warrants by a public listed company with principal business of providing fintech solutions, raising maximum proceeds of approximately RM60million.

  6. Structuring and drafting the transactional documents for the sale of business of a company specialises in the distribution of systems and instruments for water, wastewater and industrial process testing and monitoring at a consideration of approximately RM85million.

  7. Advising and structuring the privatisation of a public listed company by way of selective capital reduction.

  8. Submitting stamp duty relief applications to Inland Revenue Board of Malaysia.

  9. Submitting application to the Securities Commission Malaysia for the exemption from the obligation to launch a take-over offer.

  10. Advising on a proposed listing of a local manufacturing company on GEM Hong Kong Stock Exchange.
