Pang Saw Pin

Pang Saw Pin is a practising lawyer and a member of the Malaysian Bar since 2012.

Prior to becoming a Partner in Ming & Partners, Pang Saw Pin was a Legal Assistant in Messrs Lim & Yeoh where he was exposed to a wide array of real estate development projects, retail conveyancing work (subsale), loan financing (retail and corporate/commercial banking) and corporate advisory and transactions.

Other than real estate and loan financing matters, Pang Saw Pin also regularly provides advisory services on various general corporate and commercial transactions.

  1. Involved in the advising and structuring of a rescue & revival of abandoned real estate scheme for a white knight developer, where he was the principal lawyer in organizing the mass signing with the homebuyers and liaising with some 20+ end-financiers under the auspices of the Ministry of Housing to coordinate and facilitate the smooth disbursement of consequent loan to the white knight developer.

  2. Handled a bridging finance in the sum of RM12 million in favor of a housing developer in respect of a phased residential development in Kajang.

  3. Advised and handled the subscription of 6 million new redeemable convertible preference shares in a local energy company by a foreign entity from Dubai and crafted the requisite legal documents to facilitate the completion thereof.

  4. Involved in advising and drafting of the Share Sale Agreement for a subsidiary of a public listed company purchasing 240,000 fully paid and issued shares in a particular company, representing 60% shareholding for a consideration of RM5.4 million. He also assisted in drawing up the Shareholders’ Agreement to regulate the rights of the respective shareholders thereto.

Represented many property developers (both public listed & private) in various mixed/integrated developments, transit-oriented developments, commercial developments (retail mall, office tower, shoplots, etc.) and residential developments (both high-rise and landed, condotel/service suites) and had the exposure in drawing up the necessary legal documents for such purposes, namely joint venture/joint development agreement, sale and purchase agreement, deed of mutual covenants, etc.

  6. Acted for a subcontractor client who took over as main contractor in a medical tourism development in Penang for an award sum in excess of RM160 million and crafted the relevant legal documents facilitating the takeover.

  7. Handled a pro bono government loan in excess of RM20million in favour of a charitable organization which was tasked to provide micro-credit to deserving recipients within Chinese community.

  8. Advised and formulated the proposal in the acquisition of charged assets from the receiver & manager, in which the proposal encompassed a scheme of arrangement to allow the white knight developer to take over the abandoned mixed development.
